“Content” includes text, graphics, photos, videos, data, and other materials available through the Services. “Pass” or “Membership” refers to an access subscription offered by Thrive Spot to allow entry to partner wellness facilities. “Promotion Services” means Thrive Spot’s service of distributing and promoting memberships to Facilities. “Services” means all offerings of Thrive Spot made available through , the Thrive Spot app, or any affiliated platform. “User Content” means any content uploaded, posted, or shared by Users through our platform. “Facility” means a third-party gym, fitness studio, or wellness provider partnered with Thrive Spot. “Users” means individuals accessing or using Thrive Spot’s Services. “Website” refers to and any affiliated digital services.

‍2. Applicability of These Terms
‍These Terms and our Privacy Policy form a binding agreement between you and Thrive Spot. Your use of any Thrive Spot service implies consent to these Terms.

‍3. Changes to These Terms
‍We may update these Terms periodically. You are responsible for reviewing changes. Continued use of the Services means you accept any modified Terms.

‍4. Your Privacy
‍Please review our Privacy Policy Thrive Spot does not knowingly collect data from individuals under the age of 13. If you are under 13, please do not register for the Services.

‍5. General Conditions
‍We do not guarantee uninterrupted or error-free Services. Third-party links on our platform are provided for convenience and we are not responsible for their content.

‍6. Our Services
‍Thrive Spot facilitates access to partner Facilities through membership passes. We are not a direct provider of any Facility’s physical services.

‍7. Process of Using Our Services
‍7.1 Create Your Account
Free account creation is required. Users must provide accurate personal data and maintain account security.

7.2 Purchase a Membership
After registration, you can select a plan suited to your needs and complete payment via supported methods.

7.3 Facility Access
Access is restricted to the Facilities included in your plan. Each Facility has its own usage policies.

7.4 Facility Access Cards
Some Facilities may issue access cards. These remain the property of the Facility and must be returned upon termination.

7.5 Check-In
Users must check in through the Thrive Spot app each time they visit a Facility.

‍8. Additional Restrictions
‍You agree not to: Harass, impersonate, or defraud other users Share passwords or accounts Upload viruses or inappropriate content Use the platform for unlawful purposesCopy, reverse-engineer, or distribute site content without permission Violation of any of these conditions may lead to account suspension or termination.'

‍9. Your Rights
‍All rights to site content are reserved by Thrive Spot and its partners. You may not use, reproduce, or exploit content without appropriate permission.

‍10. Information You Provide to Us (User Submissions)
‍You retain ownership of your submissions but grant Thrive Spot a worldwide, perpetual license to use them for operation of our Services.

‍11. Ownership; Proprietary Rights
‍All materials and trademarks on our site are the intellectual property of Thrive Spot or our licensors. Unauthorized use is prohibited.

‍12. Third-party Sites, Products and Services; Links
‍Thrive Spot is not responsible for the accuracy or legality of external links. Use of third-party products and services is at your own risk.

‍13. Fees, Billing, Cancellation
Membership Fees: Thrive Spot charges subscription fees in USD via third-party payment processors. Recurring Billing: Subscriptions renew monthly unless cancelled. Price Adjustments: Changes in pricing will be communicated in advance. Cancellations: You may cancel anytime. Refunds are granted at our discretion. Facility Fees: Some Facilities may charge for additional services (e.g., mat rental).Account Termination: Thrive Spot reserves the right to suspend or terminate accounts at its discretion.

‍14. Disclaimer Relating to Facilities
‍Thrive Spot is not liable for actions, safety, or services of any third-party Facility. Participation is at your own risk.

‍15. Assumption of Risk
‍Use of wellness and fitness services involves inherent risk. You acknowledge these risks and agree that Thrive Spot is not liable for injuries, illness, or damages incurred at Facilities.

‍16. Indemnification; Hold Harmless
‍You agree to indemnify Thrive Spot, its partners, and staff against any claims arising from your use of the Services, violation of these Terms, or breach of legal rights.

‍17. Limitation of Liability and Damages
‍To the fullest extent permitted by law, Thrive Spot’s liability is limited to the greater of USD $100 or the amount paid by you in the prior 3 months. We are not responsible for indirect or incidental damages.

‍18. Venue Waivers and Terms
‍When visiting Facilities, you agree to their specific waivers, rules, and requirements. Thrive Spot has no control over Facility-specific terms.

‍19. Miscellaneous
Assignment: We may assign these Terms without notice. Severability: If any part is invalid, the rest remains enforceable. Entire Agreement: These Terms constitute the full agreement between you and Thrive Spot. Governing Law: Subject to the laws of your country or the jurisdiction where Thrive Spot operates. Statute of Limitations: Any claim must be brought within one (1) year of accrual.
